Welcome to digitalzenorium. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and digitalzenorium Ltd ("Company," "we," "our," or "us"), a company incorporated in Cyprus with registration number HE648257.

By accessing or using our website at digitalzenorium.top, engaging our real-time construction site monitoring services, or otherwise interacting with our company, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, you must not use our website or services. These Terms apply to all visitors, users, and clients of digitalzenorium services.

Description of Services

digitalzenorium provides real-time monitoring systems and related technology solutions specifically designed for construction sites. Our services include but are not limited to:

  • Video surveillance systems and remote monitoring capabilities
  • Environmental monitoring including air quality, noise levels, and weather tracking
  • Personnel tracking and access control systems
  • Data analytics and reporting services
  • Technical support and system maintenance
  • Consultation and system design services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with appropriate notice to affected clients.

User Obligations

By using our services, you agree to comply with all applicable laws and regulations. You specifically agree to:

  • Provide accurate and complete information when requested
  • Use our services only for lawful purposes related to construction site monitoring
  • Maintain the confidentiality of any access credentials provided to you
  • Notify us immediately of any unauthorised use of your account or security breaches
  • Comply with all applicable data protection and privacy laws
  • Respect the intellectual property rights of digitalzenorium and third parties
  • Not attempt to interfere with or disrupt our systems or networks
  • Not use our services to violate any laws or infringe upon the rights of others

You are responsible for ensuring that your use of our monitoring systems complies with all applicable workplace, privacy, and surveillance laws in your jurisdiction.

Intellectual Property

All content, technology, software, and materials provided by digitalzenorium, including but not limited to text, graphics, logos, images, software code, and monitoring system designs, are the exclusive property of digitalzenorium Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use our services and access our materials solely for the purposes of the monitoring services we provide to you. This licence does not include the right to:

  • Reproduce, distribute, or publicly display our proprietary materials
  • Modify, reverse engineer, or create derivative works from our technology
  • Remove or alter any proprietary notices or markings
  • Use our intellectual property for any commercial purpose outside of the agreed services

Any feedback, suggestions, or improvements you provide regarding our services may be used by digitalzenorium without restriction or compensation.

Payment Terms

Payment terms for digitalzenorium services will be specified in individual service agreements or invoices. Unless otherwise agreed in writing:

  • All fees are quoted in Euros (EUR) and are exclusive of applicable taxes
  • Payment is due within 30 days of invoice date unless otherwise specified
  • Late payments may incur interest charges as permitted by law
  • Services may be suspended for non-payment after appropriate notice

You are responsible for all taxes, duties, and fees associated with your use of our services.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you consent to the collection and use of information in accordance with our Privacy Policy.

For monitoring services that involve the collection of personal data (such as personnel tracking), you warrant that you have obtained all necessary consents and comply with applicable data protection laws, including the General Data Protection Regulation (GDPR).

digitalzenorium will process personal data in accordance with applicable data protection laws and our role as data processor or controller as specified in individual service agreements.

Limitation of Liability

To the maximum extent permitted by applicable law, digitalzenorium Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of our services.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to digitalzenorium in the twelve months preceding the claim.

We provide our services "as is" and make no warranties, express or implied, regarding the accuracy, reliability, or availability of our monitoring systems. While we strive to maintain high service standards, we cannot guarantee uninterrupted service or complete accuracy of monitoring data.

This limitation of liability does not apply to damages caused by our gross negligence, wilful misconduct, or where such limitations are prohibited by law.

Indemnification

You agree to indemnify, defend, and hold harmless digitalzenorium Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your breach of these Terms or violation of applicable laws
  • Your misuse of our services or monitoring systems
  • Any claims by third parties related to your use of our services
  • Your failure to obtain necessary consents for monitoring activities

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus.

For clients located within the European Union, nothing in these Terms shall deprive you of the protection afforded by provisions that cannot be derogated from by agreement under applicable EU law.

Before initiating any legal proceedings, we encourage you to contact us directly to resolve any disputes amicably.

Termination

Either party may terminate the service relationship in accordance with the terms specified in individual service agreements. In the absence of specific termination provisions:

  • You may terminate services by providing 30 days written notice
  • We may terminate services for breach of these Terms after appropriate notice and opportunity to cure
  • We may immediately suspend services for non-payment or serious security concerns
  • Termination does not relieve you of payment obligations for services already provided

Upon termination, we will assist with the orderly transition of monitoring services and return of any client equipment, subject to payment of outstanding fees.

Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall remain in effect after termination.

Force Majeure

digitalzenorium shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or failures of third-party telecommunications or internet services.

In such events, we will make reasonable efforts to minimise service disruptions and will notify affected clients as soon as practicable.

Modifications to Terms

digitalzenorium reserves the right to modify these Terms at any time. We will provide notice of material changes through our website or direct communication to clients. Continued use of our services after such modifications constitutes acceptance of the updated Terms.

If you do not agree to modified Terms, you may terminate your use of our services in accordance with the termination provisions outlined above.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and digitalzenorium regarding the use of our services. These Terms supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.
